Dilapidations

Landlords and tenants will often encounter disagreements in respect of the condition of their commercial property. “Dilapidations” generally refers to items of disrepair that are covered by repairing covenants in the lease. These issues can arise either during or at the end of a lease. Tenants are typically required to comply with covenants relating to:

  • Decoration
  • Reinstatement

Where a landlord and tenant cannot agree on a resolution to a dilapidations issue, various remedies are available to the landlord:

  • Damages
  • Forfeiture (if the lease has not already come to an end)
  • Specific performance

Landlord damages for dilapidations can include not only the repairs required, but also for loss of rent during the period reasonably necessary to carry out the required works, irrecoverable VAT and the costs of professionals carrying out and overseeing the works.

There are statutory safeguards for tenants in certain circumstances and tenants are well-advised to check notices received carefully and seek advice on the contents at an early stage.
